ProcureGuru is concerned about the usage by its users, of its website(www.procureguru.in) and has provided this Terms of Use (or “TOU”) statement to familiarize users with it. Services provided by ProcureGuru to the User are subjected to the following TOU. ProcureGuru reserves the right to update the TOU at any time without notice to the user.
By using ProcureGuru’s Website and the Services it offers, the user agrees to comply with all the terms and conditions hereof. User is responsible for all use of User’s Account and ensuring that all the use of User’s Account complies fully with the provisions of this agreement. Users shall be responsible for protecting User’s credentials on the website.
ProcureGuru has the right to change or disable any aspect or feature of the website, including, but not limited to, content, functionality, hours of availability etc.
Website or Platform
This website acts as a gateway of procurement activities and processes through posting requirement listings that are open for suppliers to submit their price bids to buyers and interact further for requirement fulfillment. Negotiations, fulfillment promises, and/or price fixations take place with the consent and interest of Users (buyers and/or suppliers) of the website. ProcureGuru does not involve in any agreement that takes place during negotiations between Users, including but not limited to the sale, supply, or fulfillment of goods or services.
Usage of Website
Users shall use the website for lawful purposes only. User(s) shall not post or transmit through the website any material which is objectionable, which would constitute a criminal offense, or otherwise violate any law. User(s) shall not use the website to advertise or perform any commercial advantage, including solicitation of users to become subscribers of other services competitive with ProcureGuru.
ProcureGuru website contains copyrighted material, trademarks and other information including, but not limited to text, design patterns, graphics etc. The contents of the website are copyrighted under the Trademark and Copyright laws of India. User is not allowed to modify, publish, and/or participate in the transfer/ sale, in any way exploit, any of content, as part or in whole. The user is not allowed to share or publish the material of other users (Be it contact info, transactions, etc) without the permission of the owner. User shall be completely liable for any losses resulting from infringement of copyrights, or any other loss resulting from such submission.
The ProcureGuru platform contains chat areas, profile pages, and listings, and/or other communication facilities (collectively “Communication Services”) designed to enable Users to communicate with others. With this agreement, the User agrees to use the Communication Services only to post, send and receive messages lawfully for business purposes only. The user also agrees not to use the Communication Services for surveys, advertising, spam, posting malicious links/ content, threatening or otherwise violating the legal rights of others, or any information that is unlawful under the laws of India. The User shall not use any material or information that infringes any copyright, trademark, patent, or any other proprietary right of any party or upload files that contain viruses, etc.
ProcureGuru reserves the right to review materials posted on the Communication Services and remove any material at its sole discretion. ProcureGuru reserves the right to terminate the User’s access to any or all of the Communication Services at any time, without notice, for any reason. ProcureGuru reserves the right at all times to disclose any information it deems necessary to satisfy applicable law, legal process, or governmental request.
User’s are advised to use the website/ platform with caution, especially when giving out any personally identifiable information in any Communication Services. ProcureGuru does not control nor endorse the content such as messages or information found in any Communication Services and actions resulting from the User’s involvement in any Communication Services.
User Interactions
ProcureGuru platform facilitates interaction between buyers and suppliers and does not represent either supplier or buyer in transactions and does not charge commission for enabling any transaction unless a User(Buyer) has availed managed procurement services from ProcureGuru.
ProcureGuru not control and/or take responsibility and/or liability for the quality compliances, availability, genuineness, and lawfulness of products or services offered on the site by Users (Buyers or Sellers). We are also not liable for the ability of Users to choose suppliers, fix prices, and purchase of goods. And not liable for payment and/or delivery of goods sold to the User. It is solely the User’s responsibility to choose wisely. This agreement shall not be deemed to create any partnership, joint venture, or any other relation between ProcureGuru and other parties. ProcureGuru encourages its Users to evaluate Users with whom they would like to deal with and use verification methods like google search, phone, etc
Users agree to assume the risks of any transactions, information, or risks of liability of any kind on the website arising due to connection with activity related to products/ services that are subject to the transaction.
ProcureGuru shall not held liable for misinterpretation of products, poor quality, defective products, non-payment, delay in delivery and/or payments, etc.
Users agree that ProcureGuru is not responsible for any losses, disruptions, inconveniences, or expenditures of any kind that may occur in relation to any connection or transactions that have taken place on the website. User is solely responsible and liable for the price fixations, information sharing, promises, and agreements with the other Users in any form of communication held on the website.

File Downloads and Links to Third Party Sites
ProcureGuru does not hold liable for file downloads, links to websites, and/or files sent by other users in the messaging feature that incur losses to the User. Please carefully review files/ links before use.
User Account, Password and Security
A User must complete the registration process by providing ProcureGuru with complete and accurate information as prompted by the registration and verification forms. Users are verified based on legal business information submitted, if a User fails to verify their business identity user shall re-apply for verification by contacting the team. ProcureGuru has the right to reject and/or terminate User account creation and usage without prior notice if a User fails to verify or provide the legal identity of the business.
User is entirely responsible for maintaining the confidentiality of User’s password and account. User is entirely responsible for any activity that occurs under the User’s account. User agrees to notify ProcureGuru immediately of any unauthorized use of User’s account or any other breach of security. A user could be held liable for losses incurred by the ProcureGuru or any other party due to someone else accessing User’s account. User’s account should be used only by the registered individual, not someone else.
Disclaimer; Limitation of Liability
Disclaimer regarding software, documents, and services available on this website in no event shall ProcureGuru shall be liable for any indirect or consequential damages or any damages whatsoever resulting from loss of use and/or data. Whether in a n action, arising out of or in connection with the use of performance of software, or failure to provide services, or information available from the services, or details provided or posted on ProcureGuru.
Accepting this agreement User expressively agrees that use of the website is at User’s sole risk. Neither of ProcureGuru nor its employees, third-party content providers, or agents warrants that the website is and will be uninterrupted or error-free and also to the results that may be obtained from the use of the website.
Website is provided on an “as is” basis without any warranties of any kind. The disclaimer of liability applies to any damages or losses caused by any failure of performance error, interruption, deletion, delay in operation or transmission, communication failure, destruction, computer virus, unauthorized access, alteration of or use of the record, or under any other cause of action. User specifically acknowledges that ProcureGuru is not liable for the defamatory, or legal conduct of other Users or third parties, and the risk of losses from the foregoing rests entirely with the User.
ProcureGuru nor its partners, information, and/or content providers shall be liable regardless of the cause, for any errors or defects contained within the website, or for any losses arising therefrom.
Amendment to User Agreement
ProcureGuru has the right at anytime to change or modify the terms and conditions applicable to User’s use of website, can impose new conditions, add fees and charges of use etc. Such updates and changes shall be effective immediately upon notice. Any use of website after such notice shall be considered as an acceptance by the user of such modifications. The services, including any updates, enhancements, new features are subjected to the TOU.
